On December 1, 2015, OFS Capital Corporation (the “Company”) appointed Jeffery S. Owen to the position of Chief Accounting Officer of the Company, effective upon the earlier of (a) the departure of Bei Zhang as Chief Accounting Officer; or (b) January 1, 2016. Mr. Owen, age 51, currently serves as a Director of Orchard First Source Capital, Inc. (“OFSC”) and OFS Capital Management, LLC (“OFS Advisor”) and will also serve as the Chief Accounting Officer and Controller of OFSC and OFS Advisor following Ms. Zhang’s departure from these positions. Mr. Owen has over 25 years of experience in public and private accounting. Prior to joining OFSC in November of 2015, Mr. Owen served as Senior Vice President of Corporate Accounting for Northern Trust Corporation. Before joining Northern Trust Corporation in 2010, he held various positions at Aon Corporation, Web Street, Inc., CNA Financial Corporation, and Ernst & Young LLP, a national public accounting firm. Mr. Owen holds a Bachelor of Accountancy from the University of Oklahoma and a Masters of Business Administration, cum laude, from The University of Chicago Graduate School of Business. Mr. Owen is also a Certified Public Accountant and a CFA charterholder.
There is no arrangement or understanding between Mr. Owen and any other person pursuant to which he was appointed as Chief Accounting Officer of the Company, nor is there any family relationship between Mr. Owen and any of our directors or other executive officers. There are no transactions since the beginning of our last fiscal year, or any currently proposed transaction, in which we are a participant, the amount of which involved exceeds $120,000, and in which Mr. Owen had, or will have, a direct or indirect material interest.
